Lancaster, Pa.–based ceiling and flooring manufacturer Armstrong World Industries announced today that it has signed a contract to acquire Johnstown, Ohio–based manufacturer of metal ceilings and specialty systems Steel Ceilings (SCI). This acquisition will expand Armstrong’s portfolio of architectural specialty products and will widen its customer reach.
“With SCI, we will bolster our manufacturing capacity to meet the growing demand for metal ceilings and, with radiant and security ceilings in particular, we will add even more capability to our already extensive architectural specialties portfolio,” Armstrong CEO Victor Grizzle said in a press release.
Founded in 1948, SCI is an employee-owned company with an annual revenue of approximately $10 million. In 2009, the company merged with Airtite Radiant Ceiling Systems, a North American manufacturer of radiant ceilings. Today, SCI offers a wide range of American-made products, including standard and custom metal ceilings and acoustic wall panels, largely constructed from environmentally-friendly and recycled materials, as well as radiant ceilings.
With more than 3,800 employees, Armstrong is one of the largest manufacturers of commercial and residential ceilings, walls, and suspension system solutions. The company has more than 26 manufacturing facilities worldwide, including nine plants dedicated to its WAVE joint venture with Columbus, Ohio–based Worthington Industries, producing metal ceiling grids.
The transaction is scheduled to close during the third quarter of this year. Financial terms of the agreement have not been disclosed.
